SafeDep Inc. – Terms of Service
Effective date: July 12, 2025
- Acceptance of Terms
By accessing or using any SafeDep website, API, CLI, or hosted service (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Services.
- Eligibility
Commercial (“Paid”) Services are available only to individuals 18 years or older and to legal entities able to form binding contracts. You represent that you (a) are at least 18, and (b) have authority to accept these Terms on behalf of your organization.
- Accounts & Registration
You must create an account via OAuth/SSO (Auth0). You are responsible for (i) all activities under your credentials and (ii) keeping them secure. Notify SafeDep immediately of any unauthorized use.

SafeDep may modify or discontinue features at any time with reasonable notice.
- Fees, Billing & Cancellation
- Subscription – Fees are charged in advance via Stripe.
- Trial & Refunds – If you cancel within your stated trial period, fees are fully refunded.
- Auto-Renewal – Plans renew automatically unless cancelled ≥ 30 days before the renewal date.
- Late Payments – Overdue amounts may incur interest at 1.5 % per month (or the maximum allowed by law).
- Acceptable Use Policy
You agree NOT to:
- Scan repositories or code you do not own or have legal rights to analyze.
- Use the Services to violate any law, infringe IP rights, or attempt unauthorized access to other tenants.
- Interfere with or disrupt the Services’ integrity or performance.
Note: SafeDep may suspend or terminate access for AUP violations.

You grant SafeDep the right to store, process, and anonymize Customer Data to provide and improve the Services.
- Security & Service Levels
SafeDep employs industry-standard security controls, but no guaranteed uptime or service-level agreement (SLA) is provided. The Services are offered “AS IS” and “AS AVAILABLE.”
- Intellectual Property
All SafeDep trademarks, logos, and proprietary software are owned by SafeDep or its licensors. Using the Services does not grant you any IP rights except those expressly stated.
- Termination
Either party may terminate these Terms at any time:
- You – by closing your account and ceasing all use.
- SafeDep – immediately for any material breach (including AUP violations) or upon 30 days’ written notice for convenience.
Upon termination, your license to use the Services ends and Sections 6–14 survive.
- Third-Party Services
The Services may integrate with third parties (e.g., GitHub, Stripe). SafeDep is not responsible for third-party products or their terms.
Disclaimers & Limitation of Liability
- Disclaimer – Except as expressly stated, SafeDep disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- Limitation – To the maximum extent permitted by law, SafeDep’s aggregate liability for all claims is limited to the amount you paid SafeDep in the 12 months preceding the claim or USD 100 if you paid nothing.
- No Consequential Damages – SafeDep will not be liable for indirect, incidental, special, punitive, or consequential damages.
Indemnification
You agree to defend, indemnify, and hold harmless SafeDep, its affiliates, and personnel from any claim arising out of or related to (a) your use of the Services, (b) Customer Data, or (c) violation of these Terms or law.
- Governing Law & Venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. All disputes shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and each party consents to such jurisdiction. Class-action waiver and arbitration can be added upon request.
- Changes to Terms
We may update these Terms periodically. If changes are material, we will provide 30 days’ notice via email or in-app message. Continued use of the Services after changes become effective constitutes acceptance.
